1. Services Overview

EverCFO offers a range of professional financial services aimed at supporting businesses through expert advisory, management, and operational tools. The scope of services includes but is not limited to:

  • Fractional CFO Services: Strategic financial leadership without the need for a full-time CFO.

  • Cloud-based Accounting and Bookkeeping: Digital financial record management to streamline operations.

  • Business Consulting: Tailored advice on ERP selection, financial tools, and operational improvements.

Details, deliverables, and timelines for each service will be outlined and agreed upon in separate service agreements between EverCFO and the client.

2. Client Obligations

To ensure smooth delivery of our services, you agree to:

  • Provide accurate, complete, and timely information required for financial analysis and service execution.

  • Use our services in compliance with all relevant laws and regulations.

  • Maintain communication and respond promptly to any requests for further information, approvals, or feedback.

  • Securely manage any login credentials, portals, or platforms we provide or access on your behalf.

3. Payments, Fees, and Invoicing

  • All fees for services will be agreed upon and documented in formal proposals or contracts.

  • Invoices are issued upon completion of specific milestones or on a periodic basis, as outlined in your agreement.

  • Payment terms require settlement within by the specified due date of the invoice date unless otherwise stated.

  • All prices are exclusive of GST or applicable taxes, which will be added where relevant.

  • Services may be paused or terminated if payments are not received on time.

4. Confidentiality and Data Protection

Both EverCFO and the client acknowledge that, during the course of the engagement, confidential information may be shared. Each party agrees to:

  • Maintain the confidentiality of all non-public, sensitive information.

  • Use such information solely for the purpose of delivering or receiving the agreed services.

  • Not disclose any information to third parties without prior consent, except where required by law.

Our commitment to confidentiality also extends to personal data, which will be processed in accordance with applicable data protection laws and EverCFO’s privacy policy.

5. Limitation of Liability

While we strive to deliver exceptional service, EverCFO is not liable for:

  • Indirect, incidental, or consequential damages, including lost profits or business interruption.

  • Errors or delays resulting from incomplete, inaccurate, or untimely information provided by the client.

  • Issues arising from third-party software, tools, or platforms recommended by EverCFO but not under our direct control.

In any event, our total liability is limited to the fees paid by the client for the specific service related to the claim.

6. Termination and Cancellation

Either party may terminate the agreement by providing a written notice as per agreed contractual terms. Upon termination:

  • All outstanding invoices must be settled within seven days of termination.

  • If services were prepaid, refunds (if any) will be calculated on a pro-rata basis based on the work completed.

  • All deliverables created prior to termination remain the property of EverCFO until full payment is received.

7. Intellectual Property Rights

  • All reports, analysis, or tools developed by EverCFO during the course of the engagement are our intellectual property until full payment is made.

  • Any pre-existing intellectual property, proprietary models, or templates used during the engagement remain the exclusive property of EverCFO or the relevant owner.

  • Clients are granted a limited license to use the final deliverables strictly for their internal business purposes.

8. Use of Third-Party Software and Tools

Our services may involve recommendations for third-party tools, such as ERP systems, accounting software, or business intelligence platforms. While we provide guidance on selection and implementation, EverCFO is not responsible for the performance, availability, or security of any third-party systems.

9. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of India. In the event of a dispute, both parties agree to first attempt to resolve matters amicably. If a resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of the courts in India

10. Changes to Terms and Conditions

EverCFO reserves the right to modify these Terms and Conditions from time to time. Updates will be posted on our website, and continued use of our services following any changes constitutes your acceptance of the revised Terms.
